End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement­ between you (referred to as "User," "you," or "your") and Matchday AI Technologies Pvt Ltd (referred to as "Company," "we," "our," or "us"), governing your use of the Matchday AI Technologies software and services, including but not limited to the analytics and video recording platform (the "Service").

By using the Service, you agree to be bound by the terms and conditions of this Agreement. If you do not agree with these terms, you must not use the Service.

1. License Grant

As a user, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal and non-commercial purposes.

2. Restrictions

You may not:

a. Copy, modify, distribute, sell, sublicense, lease, or otherwise exploit the Service or any part thereof.

b. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.

c. Use the Service for any illegal, fraudulent, or unauthorized purpose. d. Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Service.

3. Intellectual Property

All intellectual property rights, including but not limited to copyrights, trademarks, patents, trade secrets, and any other proprietary rights, in and to the Service, are owned by the Company. You acknowledge that you have no ownership or rights to the technology, IP, or videos provided through the Service.

4. User Content

By using the Service, you may upload or provide certain content, including videos and data (collectively, "User Content"). You retain ownership of your User Content. However, by uploading or providing User Content, you grant the Company a worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content solely for the purpose of providing and improving the Service.

5. Disclaimer of Warranties

The Service is provided "as is" and "as available," without any warranties or representations, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.

6. Limitation of Liability

To the extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

7. Termination

The Company reserves the right to terminate or suspend your access to the Service at any time, without notice, for any reason, including but not limited to your violation of this Agreement.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of laws principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.

9. Changes to Agreement

The Company reserves the right to modify, update, or change this Agreement at any time. It is your responsibility to review this Agreement periodically for any changes. Your continued use of the Service after any modifications to this Agreement constitutes your acceptance of such modifications.

10. Entire Agreement

This Agreement constitutes the entire agreement between you and the Company regarding your use of the Service, superseding any prior agreements or understandings.

Privacy Policy

At Matchday AI, we understand that protecting the privacy and security of your information is important to you. We are committed to safeguarding your privacy, and we have implemented measures to ensure that your personal data is handled in accordance with applicable laws and regulations.

1. Information we collect

We collect information that players willingly provide to us when they use our service, including:

• - Player’s name and phone number
• - Video footage of players playing a sport
• - Player names, grade levels, and team information

We also collect information automatically when you use our service, including:

• - Device information, such as IP address and browser type
• - Log data, such as time and date of access and actions taken within the service
• - Usage data, such as pages visited and features used within the service

2. How we use your information

We use the information we collect to:

• - Provide our service to you
• - Analyze video footage to provide automated stats and analysis
• - Communicate with you about our service
• - Improve our service and develop new features
• - Comply with legal and regulatory requirements

We do not sell, rent, or lease your personal data to third parties.

3. Data security

We implement appropriate technical and organizational measures to protect your personal data from unauthorized access, use, disclosure, alteration, or destruction. We use state of the art AWS cloud infrastructure to transfer, process and store the video feed and its related data. Thus, the state of the art security measures taken by Amazon Web Services applies automatically to all our data except in touchpoints outside the infrastructure of AWS. Please refer to AWS’s data and security policies for further information.

4. Data Privacy & Consent

The video data of an individual player will be only be available to the specific player or to the parties that the player shares them with and will not be made available to anyone else by Matchday AI. The consent for recording the videos will have to be acquired by the sports training facility. Matchday AI uses market standard CCTV cameras and the permissions for recording the players might not need to obtained separately if the sporting facility has already acquired consent to record its patrons with their own CCTV cameras.

5. User’s rights
